[Skip to Content](https://myfundedperpetuals.com/terms#main-content) # MyFundedPerpetuals Terms of Use ## Acceptance of Terms By accessing and using the MyFundedPerpetuals platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. MyFundedPerpetuals reserves the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. ## Definitions For purposes of these Terms, the following definitions apply: Account: Your user account (evaluation or funded) on the Service. Company / We / Us: Funding Perpetuals Holdings, Inc., d/b/a MyFundedPerpetuals and any relevant successors and assigns. Challenge: A simulated evaluation program, as described in Section 6. Force Majeure Event: As defined in Section 15. Funded Account: A simulated funded trading account issued to a trader who has passed a Challenge, as described in Section 7. Personal Data: Any information relating to an identified or identifiable natural person, as further described in our Privacy Policy. Prohibited Conduct: Activities that violate these Terms, the Trading Rules, or applicable law, including the trading-related restrictions described in the Prohibited Conduct section and the General Conduct section of these Terms, and the equivalent standards incorporated by reference into the Trader Agreement. Service / Platform: The Company's website, software, applications, and related services through which Challenges and Funded Accounts are made available. Third-Party Services: Products or services that are not under the control of, maintained by, or otherwise provided by the Company. Funded Trader Customer Agreement: To the extent a trader progresses to a Funded Account, that trader's participation is also governed by the Funded Trader Customer Agreement and any appendices thereto, as described in the Order of Precedence provision in Section 23. Trading Rules: Risk-management rules and restrictions on trading activity applicable to Accounts, including any trading, conduct, or risk-management rules set forth in the Funded Trader Customer Agreement or its appendices. You / Your / User: Any individual or entity using the Service. ## Eligibility You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Service. By registering for an account, you represent that you meet this age requirement and that all information provided during registration is accurate and complete. MyFundedPerpetuals reserves the right to refuse service to anyone at its sole discretion. ## Account Registration You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify MyFundedPerpetuals immediately of any unauthorized use. Each individual may only maintain one account. Duplicate accounts will be terminated, and any associated challenge purchases may be forfeited without refund. You acknowledge and agree that the Company has full access to all information and data generated through your use of the Service, including trading activity, orders, executions, and account behavior (“User Data”). You grant the Company the right to collect, access, analyze, retain, process, and use such User Data for any internal, operational, business, compliance, or risk-management purpose, including monitoring for Prohibited Conduct. Such processing may occur automatically, without further notice or consent, and you are not entitled to any compensation derived from the Company's use of User Data. ## Dormant Accounts You must execute at least one trade on each Evaluation Account within thirty (30) consecutive calendar days and on each Funded Account within seven (7) consecutive calendar days. The applicable inactivity period begins when the account is issued or, if later, on its scheduled activation date, and restarts upon each subsequent executed trade. Inactivity is measured from the applicable timestamp, including weekends and holidays. Logging in, placing an order that does not execute, cancelling an order, or maintaining an open position does not reset the inactivity period. Liquidations and automatic account close-outs do not count as executed trades for this purpose. If the applicable inactivity period expires without an executed trade, the Evaluation Account will be marked as failed or the Funded Account will be closed, as applicable. Trading will be disabled and any open positions will be closed automatically. Failure or closure for inactivity constitutes a breach of these Terms and does not entitle you to a refund, reinstatement, or any compensation. These inactivity requirements do not apply to competition accounts designated as exempt. This section does not limit the separate inactivity provisions applicable to Funded Accounts under the Funded Trader Customer Agreement. ## Challenge Evaluation Program MyFundedPerpetuals offers simulated evaluation challenges ("Challenges") where traders demonstrate their skill by trading simulated perpetual futures contract positions within specified parameters. Challenges have defined rules including but not limited to: profit targets, maximum drawdown limits, daily loss limits, and minimum trading day requirements. Passing a Challenge requires meeting all criteria as outlined at the time of purchase. MyFundedPerpetuals reserves the right to modify Challenge parameters for future purchases; active Challenges will be governed by the rules in effect at the time of activation. ## Funded Accounts Upon successfully passing a Challenge evaluation, eligible traders may receive a funded trading account ("Funded Account"). Funded Accounts are subject to ongoing risk management rules identical to the evaluation phase, including maximum drawdown and daily loss limits. Violation of any funded account rule may result in immediate account termination. MyFundedPerpetuals may, at its sole discretion, suspend or terminate any Funded Account that it deems to be engaged in Prohibited Conduct. ## Conduct Prohibited Conduct. The Services are intended to assess genuine trading skill under simulated conditions. You must not exploit, manipulate, or abuse the Service, your account, the payout model, or another participant. The following are strictly prohibited and may result in restriction, suspension, or termination of access, without refund or compensation: \- Exploiting platform latency, stale or delayed data, data-source differences, pricing or settlement errors, outages, freezes, race conditions, execution defects, or any other technical fault; \- Knowingly continuing to trade on a manifestly erroneous price or balance without promptly reporting the issue; \- Creating, registering, operating, or benefiting from multiple accounts for the purpose of circumventing Trading Rules, risk limits, evaluation requirements, or payout limits, including trading on behalf of another person's account, or using multiple accounts to hedge, mirror, or coordinate trades in a manner that provides an unfair advantage; \- Circumventing or attempting to circumvent a Trading Rule, risk control, slippage check, margin requirement, exposure cap, rate limit, order limit, identity control, payout condition, or account restriction; \- Coordinating trades with another person or across accounts to manufacture performance, evade risk limits, hedge away genuine exposure, manipulate a leaderboard or payout calculation, or obtain an advantage not available from genuine independent trading; \- Sharing account credentials or API keys, allowing another person to trade or manage your account, or trading an account owned by another person; \- Using automated trading bots, scripts, high-frequency request patterns, mass account control, or other software to overwhelm the Platform, gain a latency advantage, or evade Platform controls; \- Using external copy trading, account mirroring, signal execution, or account-management arrangements that cause a third party to control your account, except for same-owner native copy trading permitted under this Agreement; \- Wash trading, collusion, opposite-position schemes, artificial volume, or abusive concentration or position sizing undertaken to exploit the simulated or payout environment rather than express a genuine trading decision; \- Trading during a Platform-designated restricted news or event window in violation of the published policy, or attempting to conceal or mischaracterize such trading; \- Interfering with, damaging, or disrupting the Service or any third-party services, circumventing security features or monitoring mechanisms, or introducing viruses, malware, or other harmful components; \- Reverse engineering, scraping outside documented interfaces, or probing the Service; \- Evading a suspension, termination, or account restriction, including through duplicate or replacement accounts; \- Evading applicable sanctions or engaging in conduct that violates sanctions laws; and \- Any other conduct that exploits, manipulates, or poses an undue risk to the integrity of the Service, the Platform, or the trading environment. ## General Conduct In addition to the trading-related restrictions above, you must not: \- Provide false, misleading, incomplete, or inaccurate information to the Company, or impersonate another person; \- Copy, distribute, or share access to the Service in violation of these Terms, or use the Service for commercial purposes without prior written consent; \- Harass, threaten, or cause harm to other users, staff, or third parties, or engage in conduct that could damage the Company's reputation, goodwill, or operations; \- Access or use Third-Party Services in ways that violate their terms or applicable law; \- Engage in fraud, payment abuse, chargeback abuse, or promotion abuse; or \- Any other conduct that is unlawful, unethical, deceptive, or otherwise causes harm to another person, the Company, or the Company's reputation. ## Determination and Enforcement The Company reserves the right to determine, at its own discretion and in reasonable good faith, using the available account, market, device, identity, and audit evidence, whether certain trades, practices, strategies, or situations constitute Prohibited Conduct or General Conduct violations. The Company may ask you for information reasonably needed to complete a review; failure to provide requested information within a reasonable period may cause the review to be decided on the available evidence. If you engage in Prohibited Conduct or violate General Conduct standards, the Company may, without limitation: consider it a failure to meet the conditions of the applicable Challenge or Funded Account; exclude the affected transactions from your trading history or results; and/or immediately suspend or terminate your account and any Services provided to you, without compensation or refund. ## Fees and Payments Challenge fees are one-time, non-recurring charges. Fees are non-refundable once a Challenge has been activated (i.e., any trading activity has occurred, including placing trades, opening positions, or accessing market data). Refund requests for unactivated Challenges may be submitted within 48 hours of purchase. MyFundedPerpetuals processes all payments through third-party payment processors and does not store credit card or banking information directly. All prices are listed in USD unless otherwise noted. To limit payment fraud and chargeback abuse, each customer may complete no more than 10 Challenge accounts in any rolling 24-hour period, 25 in any rolling 7-day period, and 50 in any rolling 30-day period. Each individual Challenge account counts toward these limits, including each account in an order containing multiple accounts. These limits are cumulative across all Challenge plans, account sizes, and payment methods, are measured from the time of each completed purchase rather than by calendar day, and a purchase is accepted only if completing it would remain within all three limits; you may purchase again as earlier purchases fall outside the relevant period. The Company may apply a stricter purchase limit to an individual customer where it identifies excessive purchase activity or a risk of fraud or chargebacks, in which case the stricter limit applies in addition to the standard limits and the customer will be notified. ## Profit Split and Payouts Funded traders are entitled to receive up to 90% of net profits generated on their Funded Account according to the funded-account terms issued for that Challenge. Profit payouts are processed on a weekly schedule, subject to the platform's minimum withdrawal threshold. Before any payout can be processed, funded traders must complete identity verification (KYC) through our third-party verification provider, Sumsub, including submitting a valid government-issued identification document and passing a liveness check. MyFundedPerpetuals conducts this verification to comply with applicable know-your-customer (KYC) and anti-money-laundering (AML) requirements. Payouts will not be released until identity verification has been successfully completed and approved. MyFundedPerpetuals reserves the right to audit any account before processing a payout. Payouts may be delayed if there is reasonable suspicion of Prohibited Conduct or if additional verification is required. ## Risk Disclosure Trading perpetual futures contracts involves significant risk. Perpetual futures positions can result in the complete loss of invested capital and, on leveraged instruments, losses can occur rapidly. Past performance in evaluation Challenges does not guarantee future results on Funded Accounts. MyFundedPerpetuals does not provide investment advice, and nothing on the platform should be construed as a recommendation to buy or sell any perpetual futures contract or other financial instrument. You are solely responsible for your own trading decisions and outcomes. All Challenges and Funded Accounts operate exclusively within a simulated, non-executing environment. No trading performed through the Service involves the deposit, use, or risk of real capital, and the Service does not offer, and makes no representation that it will in the future offer, any pathway to trading with real capital or to a live funded account. Profit-split payments described in Section 9 are calculated based on simulated results and are paid from the Company's own funds, not from real trading gains. ## Intellectual Property Funding Perpetuals Holdings, Inc. owns all intellectual property rights in the MyFundedPerpetuals platform and its original content, features, functionality, trademarks, logos, software, designs, and materials. These assets are protected by applicable U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from them without prior written consent from Funding Perpetuals Holdings, Inc. Third-party materials remain the property of their respective owners and are subject to their applicable license terms. ## Limitation of Liability To the maximum extent permitted by law, MyFundedPerpetuals and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. MyFundedPerpetuals's total liability for any claim shall not exceed the amount paid by you in Challenge fees in the twelve (12) months preceding the claim. The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied. ## Warranties Disclaimer THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, OR ACCURACY, AS TO THE SERVICE, CONTENT, OR ANY MATERIALS MADE AVAILABLE THROUGH THE SERVICE. THE COMPANY MAKES NO REPRESENTATION OR WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, AND DISCLAIMS ANY LIABILITY FOR DEFECTS, INTERRUPTIONS, OR INACCURACIES. ANY TRADING OR MARKET DATA PROVIDED VIA THE SERVICE OR THIRD-PARTY SERVICES IS PROVIDED “AS IS” AND MAY BE DELAYED, INACCURATE, OR INCOMPLETE. ANY TRADING DECISIONS MADE BASED ON SUCH INFORMATION ARE MADE ENTIRELY AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE DISCLAIMERS IN THIS SECTION APPLY TO ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, AND SURVIVE YOUR USE OF, OR INABILITY TO USE, THE SERVICE. ## Force Majeure Force Majeure Event means any event or circumstance beyond the Company's reasonable control, including strikes or other industrial action, civil commotion, pandemics or epidemics, riots, government orders or actions, war or threat thereof, fire, explosion, storm, flood, earthquake, natural disasters, or failure of public or private telecommunications or internet networks. The Company shall not be liable for any failure or delay in performance caused directly or indirectly by a Force Majeure Event. Obligations affected by a Force Majeure Event are suspended for the duration of the event. You acknowledge that a Force Majeure Event may impact trading, access to accounts, or other aspects of the Service, and all such risks are assumed by you. The Company reserves the right to modify, suspend, or terminate the Service, in whole or in part, during or following a Force Majeure Event, without liability. ## Indemnification You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, and agents (collectively, the “Indemnitees”) from and against any and all claims, demands, liabilities, losses, damages, judgments, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Service, including trading activities or interactions with other users; (b) your violation of these Terms, any applicable law, or third-party rights; (c) your engagement in Prohibited Conduct or fraudulent, misleading, or unlawful activity; or (d) your submission of inaccurate, incomplete, or outdated information to the Company. This obligation applies regardless of whether the claim arises from the negligence, fault, or strict liability of the Company, and survives the termination of these Terms and any account closure. ## Account Termination MyFundedPerpetuals may suspend or terminate your account at any time if you violate these Terms or engage in conduct that MyFundedPerpetuals deems harmful to the platform, other users, or the business. Upon termination, any outstanding Challenges are forfeited and no refunds will be issued. You may also close your account at any time by contacting support. Funded Account profits earned prior to termination will be paid out subject to standard audit and verification procedures. ## Privacy MyFundedPerpetuals collects and processes personal data in accordance with its Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. We do not sell personal data to third parties. Data may be shared with payment processors, identity verification providers (such as Sumsub for KYC/AML checks), analytics providers, and regulatory authorities as required by law. Please see our Privacy Policy for more information. ## Geographical Restrictions You may not access or use the Service if you are located in, a national or resident of, or otherwise subject to the laws of any country, territory, or jurisdiction where such access or use is prohibited by applicable law, including sanctions administered by the Office of Foreign Assets Control (“OFAC”) of the U.S. Department of the Treasury (each, a “Restricted Jurisdiction”). You represent and warrant that you are not a person or entity listed on any U.S. or international sanctions list, including OFAC's Specially Designated Nationals and Blocked Persons List, and that you will not use the Service in violation of any sanctions laws or regulations. The Company reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to the Service if it determines that your use may result in non-compliance with applicable sanctions or trade-restriction laws. ## Dispute Resolution Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in class action lawsuits or class-wide arbitration. Arbitration shall take place in the State of Delaware, USA, and be conducted in English. This arbitration provision does not preclude either party from seeking provisional, interim, or injunctive relief in aid of arbitration from a court of competent jurisdiction. The prevailing party in any arbitration or litigation concerning these Terms shall be entitled to recover its costs, fees, and expenses, including reasonable attorneys' fees. The parties shall maintain the confidentiality of the arbitration proceedings and award, except as necessary to prepare for or conduct the arbitration or as required by applicable law. Regardless of the foregoing, either party may bring an individual claim in small claims court with proper jurisdiction and venue, rather than in arbitration, if the claim qualifies for that court's jurisdiction and remains on an individual, non-class basis. You acknowledge that you are giving up the right to participate in a class action or jury trial voluntarily and knowingly, and that this is an essential condition of accessing the Service. ## Governing Law and Jurisdiction These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or the Service, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles, except to the extent mandatory law in your jurisdiction applies. For any matter not subject to arbitration under the section above, including an action to compel arbitration, to confirm or enforce an arbitration award, to seek provisional or injunctive relief in aid of arbitration, or to proceed in small claims court as permitted above, the parties consent to the exclusive personal jurisdiction and venue of: (i) the state courts of the State of Delaware, or (ii) the United States District Court for the District of Delaware, and waive any objection to venue or inconvenient forum in those courts. ## Other Important Terms Relationship of the Parties. Nothing in these Terms creates or shall be deemed to create a partnership, agency, trust arrangement, fiduciary relationship, or joint venture between you and the Company. Neither party has the right, power, or authority to act or create any obligation, express or implied, on behalf of the other. Injunctive Relief. You agree that breach of these Terms would cause irreparable harm to the Company that would be difficult to ascertain and not compensable by damages alone. Accordingly, the Company has the right to enforce these Terms by injunction, specific performance, or other equitable relief, in addition to any other rights and remedies available to it. ## Order of Precedence If you progress to a Funded Account, your participation is also governed by the Funded Trader Customer Agreement and any appendices thereto (together, the “Funded Account Documents”). Acceptance of these Terms is a precondition to, and remains in effect throughout, your participation at the Funded Account stage. As between these Terms and the Funded Account Documents, precedence runs: (i) the applicable appendix, (ii) the Trader Agreement, and (iii) these Terms, with each earlier-listed document controlling over each later-listed document only to the extent of a direct conflict on the same subject matter. These Terms govern all matters not addressed in the Funded Account Documents. The following are strictly prohibited and may result in restriction, suspension, or termination of access, without refund or compensation: \- Exploiting platform latency, stale or delayed data, data-source differences, pricing or settlement errors, outages, freezes, race conditions, execution defects, or any other technical fault; \- Knowingly continuing to trade on a manifestly erroneous price or balance without promptly reporting the issue; \- Creating, registering, operating, or benefiting from multiple accounts for the purpose of circumventing Trading Rules, risk limits, evaluation requirements, or payout limits, including trading on behalf of another person's account, or using multiple accounts to hedge, mirror, or coordinate trades in a manner that provides an unfair advantage; \- Circumventing or attempting to circumvent a Trading Rule, risk control, slippage check, margin requirement, exposure cap, rate limit, order limit, identity control, payout condition, or account restriction; \- Coordinating trades with another person or across accounts to manufacture performance, evade risk limits, hedge away genuine exposure, manipulate a leaderboard or payout calculation, or obtain an advantage not available from genuine independent trading; \- Sharing account credentials or API keys, allowing another person to trade or manage your account, or trading an account owned by another person; \- Using automated trading bots, scripts, high-frequency request patterns, mass account control, or other software to overwhelm the Platform, gain a latency advantage, or evade Platform controls; \- Using external copy trading, account mirroring, signal execution, or account-management arrangements that cause a third party to control your account, except for same-owner native copy trading permitted under this Agreement; \- Wash trading, collusion, opposite-position schemes, artificial volume, or abusive concentration or position sizing undertaken to exploit the simulated or payout environment rather than express a genuine trading decision; \- Trading during a Platform-designated restricted news or event window in violation of the published policy, or attempting to conceal or mischaracterize such trading; \- Interfering with, damaging, or disrupting the Service or any third-party services, circumventing security features or monitoring mechanisms, or introducing viruses, malware, or other harmful components; \- Reverse engineering, scraping outside documented interfaces, or probing the Service; \- Evading a suspension, termination, or account restriction, including through duplicate or replacement accounts; \- Evading applicable sanctions or engaging in conduct that violates sanctions laws; and \- Any other conduct that exploits, manipulates, or poses an undue risk to the integrity of the Service, the Platform, or the trading environment. ## General Conduct In addition to the trading-related restrictions above, you must not: \- Provide false, misleading, incomplete, or inaccurate information to the Company, or impersonate another person; \- Copy, distribute, or share access to the Service in violation of these Terms, or use the Service for commercial purposes without prior written consent; \- Harass, threaten, or cause harm to other users, staff, or third parties, or engage in conduct that could damage the Company's reputation, goodwill, or operations; \- Access or use Third-Party Services in ways that violate their terms or applicable law; \- Engage in fraud, payment abuse, chargeback abuse, or promotion abuse; or \- Any other conduct that is unlawful, unethical, deceptive, or otherwise causes harm to another person, the Company, or the Company's reputation. ## Determination and Enforcement The Company reserves the right to determine, at its own discretion and in reasonable good faith, using the available account, market, device, identity, and audit evidence, whether certain trades, practices, strategies, or situations constitute Prohibited Conduct or General Conduct violations. The Company may ask you for information reasonably needed to complete a review; failure to provide requested information within a reasonable period may cause the review to be decided on the available evidence. If you engage in Prohibited Conduct or violate General Conduct standards, the Company may, without limitation: consider it a failure to meet the conditions of the applicable Challenge or Funded Account; exclude the affected transactions from your trading history or results; and/or immediately suspend or terminate your account and any Services provided to you, without compensation or refund. ## Fees and Payments Challenge fees are one-time, non-recurring charges. Fees are non-refundable once a Challenge has been activated (i.e., any trading activity has occurred, including placing trades, opening positions, or accessing market data). Refund requests for unactivated Challenges may be submitted within 48 hours of purchase. MyFundedPerpetuals processes all payments through third-party payment processors and does not store credit card or banking information directly. All prices are listed in USD unless otherwise noted. ## Profit Split and Payouts Funded traders are entitled to receive up to 90% of net profits generated on their Funded Account according to the funded-account terms issued for that Challenge. Profit payouts are processed on a weekly schedule, subject to the platform's minimum withdrawal threshold. Before any payout can be processed, funded traders must complete identity verification (KYC) through our third-party verification provider, Sumsub, including submitting a valid government-issued identification document and passing a liveness check. MyFundedPerpetuals conducts this verification to comply with applicable know-your-customer (KYC) and anti-money-laundering (AML) requirements. Payouts will not be released until identity verification has been successfully completed and approved. MyFundedPerpetuals reserves the right to audit any account before processing a payout. Payouts may be delayed if there is reasonable suspicion of Prohibited Conduct or if additional verification is required. ## Risk Disclosure Trading perpetual futures contracts involves significant risk. Perpetual futures positions can result in the complete loss of invested capital and, on leveraged instruments, losses can occur rapidly. Past performance in evaluation Challenges does not guarantee future results on Funded Accounts. MyFundedPerpetuals does not provide investment advice, and nothing on the platform should be construed as a recommendation to buy or sell any perpetual futures contract or other financial instrument. You are solely responsible for your own trading decisions and outcomes. All Challenges and Funded Accounts operate exclusively within a simulated, non-executing environment. No trading performed through the Service involves the deposit, use, or risk of real capital, and the Service does not offer, and makes no representation that it will in the future offer, any pathway to trading with real capital or to a live funded account. Profit-split payments described in Section 9 are calculated based on simulated results and are paid from the Company's own funds, not from real trading gains. ## Intellectual Property Funding Perpetuals Holdings, Inc. owns all intellectual property rights in the MyFundedPerpetuals platform and its original content, features, functionality, trademarks, logos, software, designs, and materials. These assets are protected by applicable U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from them without prior written consent from Funding Perpetuals Holdings, Inc. Third-party materials remain the property of their respective owners and are subject to their applicable license terms. ## Limitation of Liability To the maximum extent permitted by law, MyFundedPerpetuals and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. MyFundedPerpetuals's total liability for any claim shall not exceed the amount paid by you in Challenge fees in the twelve (12) months preceding the claim. The Company shall not be liable for any failure or delay in performance caused directly or indirectly by a Force Majeure Event. Obligations affected by a Force Majeure Event are suspended for the duration of the event. You acknowledge that a Force Majeure Event may impact trading, access to accounts, or other aspects of the Service, and all such risks are assumed by you. The Company reserves the right to modify, suspend, or terminate the Service, in whole or in part, during or following a Force Majeure Event, without liability. ## Indemnification You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, and agents (collectively, the “Indemnitees”) from and against any and all claims, demands, liabilities, losses, damages, judgments, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Service, including trading activities or interactions with other users; (b) your violation of these Terms, any applicable law, or third-party rights; (c) your engagement in Prohibited Conduct or fraudulent, misleading, or unlawful activity; or (d) your submission of inaccurate, incomplete, or outdated information to the Company. This obligation applies regardless of whether the claim arises from the negligence, fault, or strict liability of the Company, and survives the termination of these Terms and any account closure. ## Account Termination MyFundedPerpetuals may suspend or terminate your account at any time if you violate these Terms or engage in conduct that MyFundedPerpetuals deems harmful to the platform, other users, or the business. Upon termination, any outstanding Challenges are forfeited and no refunds will be issued. You may also close your account at any time by contacting support. Funded Account profits earned prior to termination will be paid out subject to standard audit and verification procedures. ## Privacy MyFundedPerpetuals collects and processes personal data in accordance with its Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. We do not sell personal data to third parties. Data may be shared with payment processors, identity verification providers (such as Sumsub for KYC/AML checks), analytics providers, and regulatory authorities as required by law. Please see our Privacy Policy for more information. ## Geographical Restrictions You may not access or use the Service if you are located in, a national or resident of, or otherwise subject to the laws of any country, territory, or jurisdiction where such access or use is prohibited by applicable law, including sanctions administered by the Office of Foreign Assets Control (“OFAC”) of the U.S. Department of the Treasury (each, a “Restricted Jurisdiction”). You represent and warrant that you are not a person or entity listed on any U.S. or international sanctions list, including OFAC's Specially Designated Nationals and Blocked Persons List, and that you will not use the Service in violation of any sanctions laws or regulations. The Company reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to the Service if it determines that your use may result in non-compliance with applicable sanctions or trade-restriction laws. ## Dispute Resolution Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in class action lawsuits or class-wide arbitration. Arbitration shall take place in the State of Delaware, USA, and be conducted in English. This arbitration provision does not preclude either party from seeking provisional, interim, or injunctive relief in aid of arbitration from a court of competent jurisdiction. The prevailing party in any arbitration or litigation concerning these Terms shall be entitled to recover its costs, fees, and expenses, including reasonable attorneys' fees. The parties shall maintain the confidentiality of the arbitration proceedings and award, except as necessary to prepare for or conduct the arbitration or as required by applicable law. Regardless of the foregoing, either party may bring an individual claim in small claims court with proper jurisdiction and venue, rather than in arbitration, if the claim qualifies for that court's jurisdiction and remains on an individual, non-class basis. You acknowledge that you are giving up the right to participate in a class action or jury trial voluntarily and knowingly, and that this is an essential condition of accessing the Service. ## Governing Law and Jurisdiction These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or the Service, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles, except to the extent mandatory law in your jurisdiction applies. For any matter not subject to arbitration under the section above, including an action to compel arbitration, to confirm or enforce an arbitration award, to seek provisional or injunctive relief in aid of arbitration, or to proceed in small claims court as permitted above, the parties consent to the exclusive personal jurisdiction and venue of: (i) the state courts of the State of Delaware, or (ii) the United States District Court for the District of Delaware, and waive any objection to venue or inconvenient forum in those courts. ## Other Important Terms Relationship of the Parties. Nothing in these Terms creates or shall be deemed to create a partnership, agency, trust arrangement, fiduciary relationship, or joint venture between you and the Company. Neither party has the right, power, or authority to act or create any obligation, express or implied, on behalf of the other. Injunctive Relief. You agree that breach of these Terms would cause irreparable harm to the Company that would be difficult to ascertain and not compensable by damages alone. Accordingly, the Company has the right to enforce these Terms by injunction, specific performance, or other equitable relief, in addition to any other rights and remedies available to it. ## Order of Precedence If you progress to a Funded Account, your participation is also governed by the Funded Trader Customer Agreement and any appendices thereto (together, the “Funded Account Documents”). Acceptance of these Terms is a precondition to, and remains in effect throughout, your participation at the Funded Account stage. As between these Terms and the Funded Account Documents, precedence runs: (i) the applicable appendix, (ii) the Trader Agreement, and (iii) these Terms, with each earlier-listed document controlling over each later-listed document only to the extent of a direct conflict on the same subject matter. These Terms govern all matters not addressed in the Funded Account Documents. If you do not agree to these Terms, you may not access or use the Service. MyFundedPerpetuals reserves the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. ## Definitions For purposes of these Terms, the following definitions apply: Account: Your user account (evaluation or funded) on the Service. Company / We / Us: Funding Perpetuals Holdings, Inc., d/b/a MyFundedPerpetuals and any relevant successors and assigns. Challenge: A simulated evaluation program, as described in Section 6. Force Majeure Event: As defined in Section 15. Funded Account: A simulated funded trading account issued to a trader who has passed a Challenge, as described in Section 7. Personal Data: Any information relating to an identified or identifiable natural person, as further described in our Privacy Policy. Prohibited Conduct: Activities that violate these Terms, the Trading Rules, or applicable law, including the trading-related restrictions described in the Prohibited Conduct section and the General Conduct section of these Terms, and the equivalent standards incorporated by reference into the Trader Agreement. Service / Platform: The Company's website, software, applications, and related services through which Challenges and Funded Accounts are made available. Third-Party Services: Products or services that are not under the control of, maintained by, or otherwise provided by the Company. Funded Trader Customer Agreement: To the extent a trader progresses to a Funded Account, that trader's participation is also governed by the Funded Trader Customer Agreement and any appendices thereto, as described in the Order of Precedence provision in Section 23. Trading Rules: Risk-management rules and restrictions on trading activity applicable to Accounts, including any trading, conduct, or risk-management rules set forth in the Funded Trader Customer Agreement or its appendices. You / Your / User: Any individual or entity using the Service. ## Eligibility You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Service. By registering for an account, you represent that you meet this age requirement and that all information provided during registration is accurate and complete. MyFundedPerpetuals reserves the right to refuse service to anyone at its sole discretion. ## Account Registration You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify MyFundedPerpetuals immediately of any unauthorized use. Each individual may only maintain one account. Duplicate accounts will be terminated, and any associated challenge purchases may be forfeited without refund. You acknowledge and agree that the Company has full access to all information and data generated through your use of the Service, including trading activity, orders, executions, and account behavior (“User Data”). You grant the Company the right to collect, access, analyze, retain, process, and use such User Data for any internal, operational, business, compliance, or risk-management purpose, including monitoring for Prohibited Conduct. Such processing may occur automatically, without further notice or consent, and you are not entitled to any compensation derived from the Company's use of User Data. ## Dormant Accounts You must execute at least one trade on each Evaluation Account within thirty (30) consecutive calendar days and on each Funded Account within seven (7) consecutive calendar days. The applicable inactivity period begins when the account is issued or, if later, on its scheduled activation date, and restarts upon each subsequent executed trade. Inactivity is measured from the applicable timestamp, including weekends and holidays. Logging in, placing an order that does not execute, cancelling an order, or maintaining an open position does not reset the inactivity period. Liquidations and automatic account close-outs do not count as executed trades for this purpose. If the applicable inactivity period expires without an executed trade, the Evaluation Account will be marked as failed or the Funded Account will be closed, as applicable. Trading will be disabled and any open positions will be closed automatically. Failure or closure for inactivity constitutes a breach of these Terms and does not entitle you to a refund, reinstatement, or any compensation. These inactivity requirements do not apply to competition accounts designated as exempt. This section does not limit the separate inactivity provisions applicable to Funded Accounts under the Funded Trader Customer Agreement. ## Challenge Evaluation Program MyFundedPerpetuals offers simulated evaluation challenges ("Challenges") where traders demonstrate their skill by trading simulated perpetual futures contract positions within specified parameters. Challenges have defined rules including but not limited to: profit targets, maximum drawdown limits, daily loss limits, and minimum trading day requirements. Passing a Challenge requires meeting all criteria as outlined at the time of purchase. MyFundedPerpetuals reserves the right to modify Challenge parameters for future purchases; active Challenges will be governed by the rules in effect at the time of activation. ## Funded Accounts Upon successfully passing a Challenge evaluation, eligible traders may receive a funded trading account ("Funded Account"). Funded Accounts are subject to ongoing risk management rules identical to the evaluation phase, including maximum drawdown and daily loss limits. Violation of any funded account rule may result in immediate account termination. MyFundedPerpetuals may, at its sole discretion, suspend or terminate any Funded Account that it deems to be engaged in Prohibited Conduct. ## Conduct Prohibited Conduct. The Services are intended to assess genuine trading skill under simulated conditions. You must not exploit, manipulate, or abuse the Service, your account, the payout model, or another participant. MyFundedPerpetuals's total liability for any claim shall not exceed the amount paid by you in Challenge fees in the twelve (12) months preceding the claim. The Company shall not be liable for any failure or delay in performance caused directly or indirectly by a Force Majeure Event. Obligations affected by a Force Majeure Event are suspended for the duration of the event. You acknowledge that a Force Majeure Event may impact trading, access to accounts, or other aspects of the Service, and all such risks are assumed by you. The Company reserves the right to modify, suspend, or terminate the Service, in whole or in part, during or following a Force Majeure Event, without liability. ## Indemnification You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, and agents (collectively, the “Indemnitees”) from and against any and all claims, demands, liabilities, losses, damages, judgments, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Service, including trading activities or interactions with other users; (b) your violation of these Terms, any applicable law, or third-party rights; (c) your engagement in Prohibited Conduct or fraudulent, misleading, or unlawful activity; or (d) your submission of inaccurate, incomplete, or outdated information to the Company. This obligation applies regardless of whether the claim arises from the negligence, fault, or strict liability of the Company, and survives the termination of these Terms and any account closure. ## Account Termination MyFundedPerpetuals may suspend or terminate your account at any time if you violate these Terms or engage in conduct that MyFundedPerpetuals deems harmful to the platform, other users, or the business. Upon termination, any outstanding Challenges are forfeited and no refunds will be issued. You may also close your account at any time by contacting support. Funded Account profits earned prior to termination will be paid out subject to standard audit and verification procedures. ## Privacy MyFundedPerpetuals collects and processes personal data in accordance with its Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. We do not sell personal data to third parties. Data may be shared with payment processors, identity verification providers (such as Sumsub for KYC/AML checks), analytics providers, and regulatory authorities as required by law. Please see our Privacy Policy for more information. ## Geographical Restrictions You may not access or use the Service if you are located in, a national or resident of, or otherwise subject to the laws of any country, territory, or jurisdiction where such access or use is prohibited by applicable law, including sanctions administered by the Office of Foreign Assets Control (“OFAC”) of the U.S. Department of the Treasury (each, a “Restricted Jurisdiction”). You represent and warrant that you are not a person or entity listed on any U.S. or international sanctions list, including OFAC's Specially Designated Nationals and Blocked Persons List, and that you will not use the Service in violation of any sanctions laws or regulations. The Company reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to the Service if it determines that your use may result in non-compliance with applicable sanctions or trade-restriction laws. ## Dispute Resolution Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in class action lawsuits or class-wide arbitration. Arbitration shall take place in the State of Delaware, USA, and be conducted in English. This arbitration provision does not preclude either party from seeking provisional, interim, or injunctive relief in aid of arbitration from a court of competent jurisdiction. The prevailing party in any arbitration or litigation concerning these Terms shall be entitled to recover its costs, fees, and expenses, including reasonable attorneys' fees. The parties shall maintain the confidentiality of the arbitration proceedings and award, except as necessary to prepare for or conduct the arbitration or as required by applicable law. Regardless of the foregoing, either party may bring an individual claim in small claims court with proper jurisdiction and venue, rather than in arbitration, if the claim qualifies for that court's jurisdiction and remains on an individual, non-class basis. You acknowledge that you are giving up the right to participate in a class action or jury trial voluntarily and knowingly, and that this is an essential condition of accessing the Service. ## Governing Law and Jurisdiction These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or the Service, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles, except to the extent mandatory law in your jurisdiction applies. For any matter not subject to arbitration under the section above, including an action to compel arbitration, to confirm or enforce an arbitration award, to seek provisional or injunctive relief in aid of arbitration, or to proceed in small claims court as permitted above, the parties consent to the exclusive personal jurisdiction and venue of: (i) the state courts of the State of Delaware, or (ii) the United States District Court for the District of Delaware, and waive any objection to venue or inconvenient forum in those courts. ## Other Important Terms Relationship of the Parties. Nothing in these Terms creates or shall be deemed to create a partnership, agency, trust arrangement, fiduciary relationship, or joint venture between you and the Company. Neither party has the right, power, or authority to act or create any obligation, express or implied, on behalf of the other. Injunctive Relief. You agree that breach of these Terms would cause irreparable harm to the Company that would be difficult to ascertain and not compensable by damages alone. Accordingly, the Company has the right to enforce these Terms by injunction, specific performance, or other equitable relief, in addition to any other rights and remedies available to it. ## Order of Precedence If you progress to a Funded Account, your participation is also governed by the Funded Trader Customer Agreement and any appendices thereto (together, the “Funded Account Documents”). Acceptance of these Terms is a precondition to, and remains in effect throughout, your participation at the Funded Account stage. As between these Terms and the Funded Account Documents, precedence runs: (i) the applicable appendix, (ii) the Trader Agreement, and (iii) these Terms, with each earlier-listed document controlling over each later-listed document only to the extent of a direct conflict on the same subject matter. These Terms govern all matters not addressed in the Funded Account Documents. [Skip to Content](https://myfundedperpetuals.com/terms#main-content) # MyFundedPerpetuals Terms of Use ## Acceptance of Terms By accessing and using the MyFundedPerpetuals platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. MyFundedPerpetuals reserves the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. ## Definitions For purposes of these Terms, the following definitions apply: Account: Your user account (evaluation or funded) on the Service. Company / We / Us: Funding Perpetuals Holdings, Inc., d/b/a MyFundedPerpetuals and any relevant successors and assigns. Challenge: A simulated evaluation program, as described in Section 6. Force Majeure Event: As defined in Section 15. Funded Account: A simulated funded trading account issued to a trader who has passed a Challenge, as described in Section 7. Personal Data: Any information relating to an identified or identifiable natural person, as further described in our Privacy Policy. Prohibited Conduct: Activities that violate these Terms, the Trading Rules, or applicable law, including the trading-related restrictions described in the Prohibited Conduct section and the General Conduct section of these Terms, and the equivalent standards incorporated by reference into the Trader Agreement. Service / Platform: The Company's website, software, applications, and related services through which Challenges and Funded Accounts are made available. Third-Party Services: Products or services that are not under the control of, maintained by, or otherwise provided by the Company. Funded Trader Customer Agreement: To the extent a trader progresses to a Funded Account, that trader's participation is also governed by the Funded Trader Customer Agreement and any appendices thereto, as described in the Order of Precedence provision in Section 23. Trading Rules: Risk-management rules and restrictions on trading activity applicable to Accounts, including any trading, conduct, or risk-management rules set forth in the Funded Trader Customer Agreement or its appendices. You / Your / User: Any individual or entity using the Service. ## Eligibility You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Service. By registering for an account, you represent that you meet this age requirement and that all information provided during registration is accurate and complete. MyFundedPerpetuals reserves the right to refuse service to anyone at its sole discretion. ## Account Registration You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify MyFundedPerpetuals immediately of any unauthorized use. Each individual may only maintain one account. Duplicate accounts will be terminated, and any associated challenge purchases may be forfeited without refund. You acknowledge and agree that the Company has full access to all information and data generated through your use of the Service, including trading activity, orders, executions, and account behavior (“User Data”). You grant the Company the right to collect, access, analyze, retain, process, and use such User Data for any internal, operational, business, compliance, or risk-management purpose, including monitoring for Prohibited Conduct. Such processing may occur automatically, without further notice or consent, and you are not entitled to any compensation derived from the Company's use of User Data. ## Dormant Accounts You must execute at least one trade on each Evaluation Account within thirty (30) consecutive calendar days and on each Funded Account within seven (7) consecutive calendar days. The applicable inactivity period begins when the account is issued or, if later, on its scheduled activation date, and restarts upon each subsequent executed trade. Inactivity is measured from the applicable timestamp, including weekends and holidays. Logging in, placing an order that does not execute, cancelling an order, or maintaining an open position does not reset the inactivity period. Liquidations and automatic account close-outs do not count as executed trades for this purpose. If the applicable inactivity period expires without an executed trade, the Evaluation Account will be marked as failed or the Funded Account will be closed, as applicable. Trading will be disabled and any open positions will be closed automatically. Failure or closure for inactivity constitutes a breach of these Terms and does not entitle you to a refund, reinstatement, or any compensation. These inactivity requirements do not apply to competition accounts designated as exempt. This section does not limit the separate inactivity provisions applicable to Funded Accounts under the Funded Trader Customer Agreement. ## Challenge Evaluation Program MyFundedPerpetuals offers simulated evaluation challenges ("Challenges") where traders demonstrate their skill by trading simulated perpetual futures contract positions within specified parameters. Challenges have defined rules including but not limited to: profit targets, maximum drawdown limits, daily loss limits, and minimum trading day requirements. Passing a Challenge requires meeting all criteria as outlined at the time of purchase. MyFundedPerpetuals reserves the right to modify Challenge parameters for future purchases; active Challenges will be governed by the rules in effect at the time of activation. ## Funded Accounts Upon successfully passing a Challenge evaluation, eligible traders may receive a funded trading account ("Funded Account"). Funded Accounts are subject to ongoing risk management rules identical to the evaluation phase, including maximum drawdown and daily loss limits. Violation of any funded account rule may result in immediate account termination. MyFundedPerpetuals may, at its sole discretion, suspend or terminate any Funded Account that it deems to be engaged in Prohibited Conduct. ## Conduct Prohibited Conduct. The Services are intended to assess genuine trading skill under simulated conditions. You must not exploit, manipulate, or abuse the Service, your account, the payout model, or another participant. The following are strictly prohibited and may result in restriction, suspension, or termination of access, without refund or compensation: \- Exploiting platform latency, stale or delayed data, data-source differences, pricing or settlement errors, outages, freezes, race conditions, execution defects, or any other technical fault; \- Knowingly continuing to trade on a manifestly erroneous price or balance without promptly reporting the issue; \- Creating, registering, operating, or benefiting from multiple accounts for the purpose of circumventing Trading Rules, risk limits, evaluation requirements, or payout limits, including trading on behalf of another person's account, or using multiple accounts to hedge, mirror, or coordinate trades in a manner that provides an unfair advantage; \- Circumventing or attempting to circumvent a Trading Rule, risk control, slippage check, margin requirement, exposure cap, rate limit, order limit, identity control, payout condition, or account restriction; \- Coordinating trades with another person or across accounts to manufacture performance, evade risk limits, hedge away genuine exposure, manipulate a leaderboard or payout calculation, or obtain an advantage not available from genuine independent trading; \- Sharing account credentials or API keys, allowing another person to trade or manage your account, or trading an account owned by another person; \- Using automated trading bots, scripts, high-frequency request patterns, mass account control, or other software to overwhelm the Platform, gain a latency advantage, or evade Platform controls; \- Using external copy trading, account mirroring, signal execution, or account-management arrangements that cause a third party to control your account, except for same-owner native copy trading permitted under this Agreement; \- Wash trading, collusion, opposite-position schemes, artificial volume, or abusive concentration or position sizing undertaken to exploit the simulated or payout environment rather than express a genuine trading decision; \- Trading during a Platform-designated restricted news or event window in violation of the published policy, or attempting to conceal or mischaracterize such trading; \- Interfering with, damaging, or disrupting the Service or any third-party services, circumventing security features or monitoring mechanisms, or introducing viruses, malware, or other harmful components; \- Reverse engineering, scraping outside documented interfaces, or probing the Service; \- Evading a suspension, termination, or account restriction, including through duplicate or replacement accounts; \- Evading applicable sanctions or engaging in conduct that violates sanctions laws; and \- Any other conduct that exploits, manipulates, or poses an undue risk to the integrity of the Service, the Platform, or the trading environment. ## General Conduct In addition to the trading-related restrictions above, you must not: \- Provide false, misleading, incomplete, or inaccurate information to the Company, or impersonate another person; \- Copy, distribute, or share access to the Service in violation of these Terms, or use the Service for commercial purposes without prior written consent; \- Harass, threaten, or cause harm to other users, staff, or third parties, or engage in conduct that could damage the Company's reputation, goodwill, or operations; \- Access or use Third-Party Services in ways that violate their terms or applicable law; \- Engage in fraud, payment abuse, chargeback abuse, or promotion abuse; or \- Any other conduct that is unlawful, unethical, deceptive, or otherwise causes harm to another person, the Company, or the Company's reputation. ## Determination and Enforcement The Company reserves the right to determine, at its own discretion and in reasonable good faith, using the available account, market, device, identity, and audit evidence, whether certain trades, practices, strategies, or situations constitute Prohibited Conduct or General Conduct violations. The Company may ask you for information reasonably needed to complete a review; failure to provide requested information within a reasonable period may cause the review to be decided on the available evidence. If you engage in Prohibited Conduct or violate General Conduct standards, the Company may, without limitation: consider it a failure to meet the conditions of the applicable Challenge or Funded Account; exclude the affected transactions from your trading history or results; and/or immediately suspend or terminate your account and any Services provided to you, without compensation or refund. ## Fees and Payments Challenge fees are one-time, non-recurring charges. Fees are non-refundable once a Challenge has been activated (i.e., any trading activity has occurred, including placing trades, opening positions, or accessing market data). Refund requests for unactivated Challenges may be submitted within 48 hours of purchase. MyFundedPerpetuals processes all payments through third-party payment processors and does not store credit card or banking information directly. All prices are listed in USD unless otherwise noted. ## Profit Split and Payouts Funded traders are entitled to receive up to 90% of net profits generated on their Funded Account according to the funded-account terms issued for that Challenge. Profit payouts are processed on a weekly schedule, subject to the platform's minimum withdrawal threshold. Before any payout can be processed, funded traders must complete identity verification (KYC) through our third-party verification provider, Sumsub, including submitting a valid government-issued identification document and passing a liveness check. MyFundedPerpetuals conducts this verification to comply with applicable know-your-customer (KYC) and anti-money-laundering (AML) requirements. Payouts will not be released until identity verification has been successfully completed and approved. MyFundedPerpetuals reserves the right to audit any account before processing a payout. Payouts may be delayed if there is reasonable suspicion of Prohibited Conduct or if additional verification is required. ## Risk Disclosure Trading perpetual futures contracts involves significant risk. Perpetual futures positions can result in the complete loss of invested capital and, on leveraged instruments, losses can occur rapidly. Past performance in evaluation Challenges does not guarantee future results on Funded Accounts. MyFundedPerpetuals does not provide investment advice, and nothing on the platform should be construed as a recommendation to buy or sell any perpetual futures contract or other financial instrument. You are solely responsible for your own trading decisions and outcomes. All Challenges and Funded Accounts operate exclusively within a simulated, non-executing environment. No trading performed through the Service involves the deposit, use, or risk of real capital, and the Service does not offer, and makes no representation that it will in the future offer, any pathway to trading with real capital or to a live funded account. Profit-split payments described in Section 9 are calculated based on simulated results and are paid from the Company's own funds, not from real trading gains. ## Intellectual Property Funding Perpetuals Holdings, Inc. owns all intellectual property rights in the MyFundedPerpetuals platform and its original content, features, functionality, trademarks, logos, software, designs, and materials. These assets are protected by applicable U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from them without prior written consent from Funding Perpetuals Holdings, Inc. Third-party materials remain the property of their respective owners and are subject to their applicable license terms. ## Limitation of Liability To the maximum extent permitted by law, MyFundedPerpetuals and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. You acknowledge that you are giving up the right to participate in a class action or jury trial voluntarily and knowingly, and that this is an essential condition of accessing the Service. ## Governing Law and Jurisdiction These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or the Service, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles, except to the extent mandatory law in your jurisdiction applies. For any matter not subject to arbitration under the section above, including an action to compel arbitration, to confirm or enforce an arbitration award, to seek provisional or injunctive relief in aid of arbitration, or to proceed in small claims court as permitted above, the parties consent to the exclusive personal jurisdiction and venue of: (i) the state courts of the State of Delaware, or (ii) the United States District Court for the District of Delaware, and waive any objection to venue or inconvenient forum in those courts. ## Other Important Terms Relationship of the Parties. Nothing in these Terms creates or shall be deemed to create a partnership, agency, trust arrangement, fiduciary relationship, or joint venture between you and the Company. Neither party has the right, power, or authority to act or create any obligation, express or implied, on behalf of the other. Injunctive Relief. You agree that breach of these Terms would cause irreparable harm to the Company that would be difficult to ascertain and not compensable by damages alone. Accordingly, the Company has the right to enforce these Terms by injunction, specific performance, or other equitable relief, in addition to any other rights and remedies available to it. ## Order of Precedence If you progress to a Funded Account, your participation is also governed by the Funded Trader Customer Agreement and any appendices thereto (together, the “Funded Account Documents”). Acceptance of these Terms is a precondition to, and remains in effect throughout, your participation at the Funded Account stage. As between these Terms and the Funded Account Documents, precedence runs: (i) the applicable appendix, (ii) the Trader Agreement, and (iii) these Terms, with each earlier-listed document controlling over each later-listed document only to the extent of a direct conflict on the same subject matter. These Terms govern all matters not addressed in the Funded Account Documents.
